1. Who provides Corpoo

Corpoo is provided by OO-Apps Ireland Operations (“Company”, “we”, “us”). This draft uses the planned company name supplied by the operator. The complete registered name and effective date must be verified before these Terms take effect.

2. Business use and accounts

The Service is intended for business use, including sole traders. By accepting these Terms for a business, you confirm that you have authority to bind it. “Subscriber” means that business; “Users” are the people it authorizes to use its account.

The Subscriber must keep account details accurate, protect credentials, manage access and ensure its Users comply with these Terms. Mandatory rights that cannot lawfully be excluded remain unaffected.

3. The Service and your plan

Corpoo helps businesses configure virtual sales workers, find and organize leads, run outreach campaigns and manage AI-assisted replies. Virtual workers are software agents, not human employees. Features and usage allowances depend on the selected plan and Order.

Basic, Pro and Business support autonomous AI replies, with ambiguous cases passed to a human. Replies requiring review may be prepared as drafts. The Subscriber remains responsible for campaign settings, instructions, knowledge and oversight.

The accepted Order must state the price, billing period, user and worker limits, daily lead allowance and monthly credits. Credit consumption, resets, rollover and any additional charges must be disclosed before purchase. These Terms do not create an entitlement to unspecified features or a free trial.

4. Fees, renewal and cancellation

Proposed billing terms for review: subscription fees are charged in advance for the billing period selected in the Order. Prices are in EUR and exclude applicable taxes unless stated otherwise. Any recurring renewal and cancellation deadline must be clearly disclosed before the Order is accepted.

A Subscriber may prevent the next renewal using the agreed cancellation process. Unless law requires otherwise or we agree in writing, fees for an already started billing period are non-refundable. Price changes apply only to a future renewal, with advance notice and an opportunity not to renew.

If payment is overdue, we may suspend the affected subscription after appropriate notice. No unapproved usage charges should be inferred from these Terms.

5. Outreach and acceptable use

The Subscriber must have the rights and lawful basis required to collect, import, enrich and contact leads. Finding a business contact does not by itself establish permission to send marketing. The Subscriber must provide required notices, follow applicable marketing and privacy rules, and honor objections, unsubscribe requests and stop-lists.

Do not use Corpoo for unlawful spam, deceptive impersonation, harassment, malware, unauthorized access or infringement of others’ rights. Do not bypass account limits, security measures or suppression controls. Connected email, CRM and other providers may impose additional requirements.

6. AI outputs and connected services

AI can produce inaccurate, incomplete or unsuitable content. Review product knowledge and instructions, monitor activity and escalations, and review drafts where manual approval applies. Do not configure the Service to make legally binding commitments or regulated decisions without appropriate human review.

We do not guarantee lead accuracy, message delivery, meetings, sales or revenue. Third-party services and data sources can change or become unavailable; the Subscriber is responsible for maintaining authorized access to its connected accounts.

7. Customer data and privacy

The Subscriber retains its rights in data and content supplied to Corpoo and grants the Company the permissions needed to provide the Service. Each party must comply with applicable data protection law.

Where Corpoo processes personal data on the Subscriber’s behalf, a separate data processing agreement must govern that processing. The Privacy policy explains processing for which the Company acts as controller. A privacy notice is not a substitute for that agreement.

Data export, deletion, backup retention and the post-termination access window must be specified in the Order or DPA before activation; they are not fixed by this draft.

8. Intellectual property and confidentiality

The Company and its licensors retain rights in Corpoo, its software, website, branding and documentation. During an active subscription, the Subscriber receives a limited, non-exclusive right to use the Service for its business under the agreed plan.

Each party must protect the other’s confidential information and use it only to perform the agreement. Exceptions include information already public, independently developed or lawfully obtained without restriction, and disclosures required by law.

9. Support, changes and suspension

Support is provided according to the purchased plan. AI may assist support, with human review when needed. No response-time SLA is created unless separately agreed.

We may update the Service. Material adverse changes affecting a paid subscription require notice and an appropriate contractual remedy. We may suspend access for non-payment, serious misuse, security threats or a legal requirement, limiting suspension where reasonably possible.

Either party may end the agreement for a material breach that is not remedied following reasonable notice, or immediately where the breach cannot be remedied. Accrued payment obligations and provisions intended to survive remain in force.

10. Liability — proposed clause for legal review

The Service is supplied on an “as available” basis. To the extent permitted by law, implied warranties are excluded and the Company does not warrant uninterrupted or error-free operation.

The proposed liability framework carried over from Visioo excludes indirect losses and caps the Company’s aggregate liability at fees paid for the preceding three months. This cap, exclusions and appropriate carve-outs require legal review for Corpoo before adoption. Nothing may exclude liability that applicable law prohibits excluding.

11. Governing law, updates and notices

The proposed governing law is Irish law, with disputes subject to the courts of Ireland, except where mandatory law provides otherwise. Material changes to these Terms must be notified before they take effect; the applicable version and effective date must remain identifiable.

Operational and contractual notices may be sent electronically to the Subscriber’s account contact. If a provision is unenforceable, the remaining provisions continue to apply. The Order, these Terms and the agreed DPA define the parties’ agreement, with their order of precedence to be confirmed before launch.
